Course Description

This course provides a survey to corporate and business compliance. The student will be exposed to various domestic legal regimes that govern corporate conduct, norms, and ethics, such as the Foreign Corrupt Practices Act, Sarbanes-Oxley, Dodd-Frank, and whistleblower provisions, among others. Moreover, the course will cover the development of compliance programs, the role of compliance professionals, and related areas, such as confidentiality.

Rationale

The purpose of this class is to provide an overview of key concepts in corporate compliance. The class will explore the nature of compliance, the integration of compliance into a corporation, and review several key compliance areas and regulatory regimes.

Course Assignment

After reading the Course Syllabus and Student Expectations, the student will complete the related checklist found in the Course Overview.

Discussions are collaborative learning experiences. Therefore, the student is required to provide a thread in response to the provided prompt for each discussion. Each thread must be at least 300 words and demonstrate course-related knowledge. At least 3 sources must be cited in the thread. In addition to the thread, the student is required to reply to at least 2 classmates' threads. Each reply must be at least 200 words. At least 1 source must be cited in each reply. All sources used to support your assertions must be cited in current Bluebook format.

Article Review Assignments (2)

The student will write 2 article reviews based on recent scholarly papers related to business law. The reviews must be at least 1,500 words. The paper must include at least 3 reference(s). 

The student will write 2 Case Briefs in current Bluebook format. Each case brief must be at least 500 words. The Case Briefs will require synthesis of the course content, requiring the student to identify the legal issues, apply law to facts, and propose a resolution to the issues presented.

Each Quiz will cover the Learn material for the assigned module(s). Each quiz will be open-book/open-notes, contain 25 multiple-choice and true/false questions and have a time limit of 2 hours. The four quizzes are:
